PrimeSpy User Service Agreement
Effective Date: February 20, 2026
Welcome to the PrimeSpy Platform, a marketing creative analysis platform that offers users services such as advertising trend analysis, advertising creative inspiration, and competitive advertising strategy insights.
To utilize the services provided by the PrimeSpy Platform (the “Service”), you (“You” or “User”) are required to read and comply with this PrimeSpy User Service Agreement (the “Agreement”).
Before you complete the registration process or use the Service in any manner, you must carefully read and fully understand all the terms herein, particularly those that limit or exclude liability. Provisions limiting or exempting liability will be highlighted in boldor other means. You represent and warrant that you have all requisite rights, capacity, power, and authority to enter into this Agreement. By clicking “I Agree” or a similar button, or by commencing use of the Service, you affirm that you have read, understood, and agreed to the entirety of this Agreement. If you do not agree to any part of this Agreement, please do not register or use the Service.
This Agreement constitutes a legal contract between you and the operator of the PrimeSpy platform (“We”, “Us”, “Our”, or “PrimeSpy”). We may revise this Agreement from time to time, and the revised agreement will be posted on the website. Your continued use of the Service constitutes acceptance of the revised terms.
1. Account Registration and Management
1.1 Eligibility
You must be at least 18 years of age, or the age of majority in your jurisdiction, and possess full legal capacity to register for an account. If you are registering on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement.
1.2 Account Information
You must provide accurate, complete, and current registration information. You are responsible for maintaining and updating your information to keep it true and accurate. Providing false information may result in suspension or termination of your account.
1.3 Account Security
You are solely responsible for all activities that occur under your account. You must take all reasonable steps to keep your account password secure and confidential. You agree to notify PrimeSpy immediately of any unauthorized use of your account or any other breach of security. PrimeSpy shall not be liable for any loss or damage arising from your failure to comply with this security obligation.
1.4 Account Usage Restrictions
Your account is for your personal or internal business use only. You may not rent, lend, transfer, sell, or share your account with any third party without the express written consent of PrimeSpy. You may not create accounts or access the Service using automated means, bots, crawlers, or other non-human methods.
2. Acceptable Use Policy
2.1 Lawful Use
You agree to use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and this Agreement.
2.2 Prohibited Conduct
You shall comply with all applicable laws and regulations and shall not use the PrimeSpy Service or your account to engage in or assist in the following activities:
2.2.1 Endangering national security, leaking state secrets, subverting state power, undermining national unity, or harming national honor and interests;
2.2.2 Promoting cults or feudal superstitions;
2.2.3 Spreading rumors, disturbing social order, or undermining social stability;
2.2.4 Disseminating obscene, pornographic, gambling-related, violent, terroristic, harassing, vulgar content, or inciting crime;
2.2.5 Insulting, defaming others, or infringing upon the legitimate rights and interests of others;
2.2.6 Infringing upon others’ intellectual property rights, trade secrets, or other legal rights;
2.2.7 Fabricating facts or concealing the truth to mislead or deceive others;
2.2.8 Engaging in online gambling or other illegal internet activities;
2.2.9 Other activities that violate laws, regulations, or public order and good customs.
You also undertake and promise:
2.2.10 Not to use any manual or automated programs to scrape or crawl any content from PrimeSpy;
2.2.11 Not to reverse engineer, decompile, or disassemble any content of PrimeSpy.
2.3 Prohibited Technical and System Activities
You must not misuse the Service in any way, including but not limited to:
2.3.1 Using the Service for any illegal purpose or in violation of any third-party platform’s terms of service.
2.3.2 Engaging in activities that may compromise computer network security, such as: illegally intruding into networks, disrupting network functions, disseminating malware or viruses, conducting network attacks, etc.
2.3.3 Using any scripts, bots, crawlers, spiders, or other automated means to access, scrape, index, or collect data from the Service without express written permission.
2.3.4 Interfering with, disrupting, or overloading the Service’s infrastructure, or attempting to circumvent any security or authentication measures.
2.4 Prohibited Use of Service Data and Creatives
You expressly agree not to use the Service, or any data, creatives, images, videos, or insights obtained therefrom (“Service Data”) for the following purposes:
2.4.1 Directly copying, republishing, redistributing, or creating derivative works that infringe upon the intellectual property rights of the original rights holders. Service Data is for analysis, research, and inspiration purposes only.
2.4.2 Reselling, sublicensing, or otherwise commercially exploiting the Service or Service Data as a standalone product or service, or as part of a service that provides multi-user or shared access, without a separate written agreement with PrimeSpy.
2.5 Consequences of Violation
2.5.1 If you engage in any of the aforementioned prohibited behaviors or use the PrimeSpy software and Service for any illegal purpose, we have the right to unilaterally take one or more of the following measures without assuming any liability:
a) Issue a warning;
b) Restrict, suspend, or permanently terminate your account and access;
c) Remove violating content;
d) Pursue legal liability against you in accordance with the law.
2.5.2 You understand and agree that you shall be solely responsible for any claims, demands, or losses asserted by any third party arising from your violation of this Agreement or relevant service terms.
2.5.3 If PrimeSpy suffers any losses due to your violation (including but not limited to loss of goodwill, administrative fines, settlement costs, attorney fees, etc.), you shall be liable for compensating PrimeSpy for all such losses.
2.5.4 If PrimeSpy is required to bear relevant liabilities to a third party in advance due to a court’s effective judgment, arbitration award, or administrative decision, PrimeSpy has the right to seek full recovery from you.
3. Intellectual Property
3.1 Service IP
The PrimeSpy Service and all content therein, including but not limited to software, code, text, images, graphics, logos, patents, trademarks, service marks (“PrimeSpy IP”), are the property of PrimeSpy or its licensors and are protected by intellectual property laws. This Agreement does not grant you any rights to PrimeSpy IP not expressly granted herein. You are granted a limited, revocable, non-exclusive license to access and use the Service for personal or internal business purposes only.
3.2 User Content
You retain all intellectual property rights in any content you submit, post, or display on or through the Service (“User Content”). By submitting User Content, you grant PrimeSpy a worldwide, royalty-free, sublicensable, non-exclusive license to use, reproduce, modify, and adapt such content to operate, improve, and promote the Service.
3.3 Third-Party Content
The intellectual property rights in advertising creatives, images, videos, text, and other content displayed in the Service (“Third-Party Content”) belong to their respective owners. Your access to this content does not grant you a license to use it. You must independently ensure that your use of any Third-Party Content does not infringe the rights of others.
3.4 Feedback
Any comments, suggestions, or ideas you provide regarding the Service (“Feedback”) are provided voluntarily. All Feedback shall become the exclusive property of PrimeSpy. You hereby irrevocably assign to PrimeSpy all ownership and intellectual property rights in the Feedback and agree to assist us in perfecting and enforcing these rights.
4. Fees, Payment, and Refunds
4.1 Subscription Fees
Certain features of the Service require a paid subscription. The subscription fees, billing cycles, and payment methods will be specified at the time of your subscription. All fees are payable in advance in the designated currency. If you agree to automatic renewal of the Service upon subscription, you authorize us to automatically charge the applicable renewal fee to your designated payment account before the end of the original subscription period, unless you cancel prior to renewal. Should you wish to stop automatic renewal, you must cancel the service before the end of the current subscription cycle in accordance with the terms of the Automatic Renewal Agreement.
You agree that we reserve the right to adjust subscription prices at any time due to changes in commercial strategy or other reasons, and will notify users of such changes via browser push notifications or on the official website primespy.net/pricing. If you do not agree to the new price, you may cancel the automatic renewal before the new price takes effect in accordance with the Automatic Renewal Agreement. The automatic renewal price will generally not exceed the price of the previous subscription cycle (excluding any promotional discounts), unless a price change is separately notified.
4.2 No Refund Policy
Unless otherwise required by applicable law, all payments are final and non-refundable. This includes, but is not limited to, fees for partially used subscription periods, voluntary downgrades, or unused subscription time.
5. Privacy and Data
5.1 Privacy Policy and Authorization Basis
Our collection and use of your information will strictly adhere to our Privacy Policy, which is incorporated into this Agreement by reference. The provisions of this Section 5 serve as a valid legal basis for establishing the rights and obligations related to your personal information and shall remain legally binding on you to the extent permitted by applicable law.
5.2 Data Collection
To provide, maintain, protect, and improve the Service, PrimeSpy will collect information and personal data generated during your use of the Service (including but not limited to account information, usage behavior, device information, etc.) in accordance with the Privacy Policy and applicable laws.
5.3 User Information Authorization and Use
5.3.1 You understand and agree that to provide you with core data analysis services, PrimeSpy needs to process information related to your advertising activities. You hereby authorize PrimeSpy to collect and use relevant information about you on the PrimeSpy platform, within the scope necessary to provide the Service to you. This includes, but is not limited to, advertising account information, advertising campaign data (such as ad identifiers, performance metrics) that you add, query, or associate, as well as your publicly disseminated advertising creatives (including ad copy, images, videos, etc., hereinafter referred to as “Authorized Materials”). You confirm that this authorization will not result in additional legal liability for PrimeSpy.
5.3.2 To provide accurate, objective data analysis, trend insights, and competitive intelligence services, you acknowledge and agree that PrimeSpy may incorporate the aforementioned Authorized Materials into its analytical databases for anonymized or aggregated data analysis, algorithm training, generating industry insight reports, and for display and comparison within the Service to you or other users (on an anonymized basis). You understand that this is essential for enhancing service quality and analytical breadth.
5.3.3 Your Control Rights: You have the right to request PrimeSpy, through settings within the Service or by contacting customer support, to cease analyzing your specific Authorized Materials or to remove them from display to other users. However, you acknowledge and understand that such action may affect the comprehensiveness, contextual relevance, and accuracy of benchmark comparisons in the data analysis services you receive.
5.3.4 Service Dependency: You are fully aware that if you refuse to provide or revoke the necessary authorization under this section, it may result in PrimeSpy being unable to provide you with complete, high-quality, or specific analysis services.
5.4 Data Security
We will implement reasonable security measures to protect your information from unauthorized access, disclosure, use, alteration, or destruction. Please note that no method of transmission over the Internet or electronic storage is 100% secure.
6. Advertising and Promotion
You acknowledge and agree that in the process of providing the Service, PrimeSpy may, by itself or through third parties, send you advertising, promotional, or publicity information (including both commercial and non-commercial information) via SMS, email, in-app messages, or other electronic means.If you no longer wish to receive such information, you have the right to unsubscribe by contacting our official customer service or by sending an email to support@primespy.com.You expressly acknowledge that you shall exercise your own prudent judgment regarding the authenticity and reliability of any advertising, promotional, or publicity information displayed within the Service or received through the aforementioned channels. Except as expressly required by applicable law, you shall bear all corresponding responsibilities and risks arising from any transactions or interactions conducted based on such information. PrimeSpy makes no warranties and assumes no liability for the content, products, or services of any such information.
7. Disclaimer and Limitation of Liability
7.1 Technology Neutrality, Third-Party Services and Content
PrimeSpy provides technology-neutral services. PrimeSpy expressly disclaims any liability for any security, performance, reliability issues, or any other problems (including but not limited to security vulnerabilities, data loss, data inaccuracies, service interruptions, or other damages) arising from any third-party extensions, APIs, services, data sources, or technical components integrated with or accessed through the PrimeSpy Service. Any such liability lies entirely with the respective third-party developers, service providers, or data sources.
In your use of the PrimeSpy product/Service for categorizing, searching, monitoring, viewing, or learning from third-party information, data, opinions, images, videos, etc. (“Third-Party Content”), PrimeSpy does not review Third-Party Content and cannot control it. You shall independently verify the authenticity, legality, and validity of Third-Party Content and bear all associated risks. PrimeSpy assumes no responsibility for technical risks beyond its reasonable anticipation or control.
7.2 Force Majeure
PrimeSpy shall not be liable for any failure or delay in performing its obligations under this Agreement due to circumstances beyond its reasonable control and not primarily attributable to PrimeSpy (“Force Majeure Events”). For the purposes of this clause, Force Majeure Events refer to objective events that are unforeseeable, unavoidable, and insurmountable, and have a significant impact on one or both parties, including but not limited to: (a) natural disasters such as floods, earthquakes, epidemics, storms, hurricanes, typhoons, volcanic activity, etc.; (b) social events such as war, turmoil, government actions, changes in laws, regulations, or policies, terrorism, revolution, riots, military or usurped power, or civil war; © attacks by threat actors, including but not limited to computer viruses or hacking, distributed denial-of-service attacks, or other cyber-attacks; (d) widespread interruption or failure of telecommunications, power, or internet services; (e) risks of service interruption or failure to meet your requirements due to your location, your device being powered off, system resets, system instability, or any other technical, internet, or communication line reasons.
In the event of the above circumstances, PrimeSpy will endeavor to cooperate with relevant parties promptly to carry out repairs. However, PrimeSpy shall be exempt from liability for any losses caused to you thereby to the extent permitted by law. And under no circumstances shall PrimeSpy be liable for service unavailability or delays caused by internet connection failures, computer, communication or other equipment/system failures, power failures, etc.
7.3 Service Maintenance and Interruption
PrimeSpy needs to perform regular or irregular inspections or maintenance on the PrimeSpy product/Service. PrimeSpy shall not be liable for any service interruptions within a reasonable period caused by such activities.
7.4 Service Usage Restrictions and Disclaimer
PrimeSpy grants you the right to use the Service for categorizing, searching, monitoring, viewing, and analyzing advertising creatives, market trends, etc., to gain inspiration and insights. Your use of PrimeSpy to search, monitor, and view material information publicly available on the internet shall comply with national laws and regulations and the terms of service, rules, etc., of third-party platforms. The materials, data, and insights you obtain (“Service Data”) are for analysis, research, and inspiration purposes only and shall not be directly copied, republished, or used for other commercial purposes.
PrimeSpy shall not be liable if you use PrimeSpy for purposes other than those stipulated in this Agreement (i.e., other than reasonable and lawful purposes such as categorization, search, monitoring, viewing, statistics, analysis, learning, etc.) or for illegal purposes. The copyright of the text, images, videos, and other content displayed by PrimeSpy belongs to the respective copyright owners. If a copyright owner whose content is analyzed or displayed by PrimeSpy believes that such content is not suitable for online browsing or constitutes infringement, please promptly notify us via email at support@primespy.com. We will promptly take appropriate measures upon verification.
7.5 Service “As Is” and Disclaimer
PrimeSpy hereby expressly declares that it makes no express or implied warranties regarding this Service, including but not limited to warranties of suitability, absence of omissions or errors, continuity, accuracy, reliability, or fitness for a particular purpose. You understand and agree that the PrimeSpy Service and related software and websites are provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable law in Singapore, PrimeSpy disclaims all express or implied warranties, representations, conditions, and any other terms of any kind, whether statutory, under common law, or otherwise. This includes, but is not limited to, implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and quiet enjoyment.
PrimeSpy makes no promises or guarantees regarding the validity, accuracy, correctness, reliability, quality, stability, completeness, or timeliness of the technology and information involved in this Service. PrimeSpy does not warrant that the Service, software, or related websites will be uninterrupted, timely, secure, error-free, free from malicious attacks or harmful components, or that defects will be corrected. PrimeSpy makes no representations or warranties regarding the accuracy, completeness, reliability, usefulness, timeliness, or any content, data, or analysis results provided through the Service. PrimeSpy does not warrant that your use of the Service is lawful in any specific jurisdiction, and you are responsible for ensuring compliance with local laws.
7.6 User Responsibility and Assumption of Risk
You are solely responsible for your use of the Service, including managing your account, complying with laws and regulations, and backing up your data. PrimeSpy strongly recommends that you regularly back up all data associated with your use of the Service. Any user who uses, tests, or evaluates PrimeSpy for any purpose assumes all risks concerning its quality, performance, accuracy, and the outcomes of decisions made based on Service information.
7.7 Limitation of Liability
To the maximum extent permitted by applicable law, PrimeSpy shall not be liable for any indirect, incidental, punitive, special, or consequential damages arising out of or related to this Agreement or your use of the Service, including but not limited to loss of profits, loss of revenue, loss of goodwill, business interruption, loss of data or information, or other economic loss, even if PrimeSpy has been advised of the possibility of such damages. Notwithstanding the foregoing, the total aggregate liability of PrimeSpy for all claims arising out of or related to this Agreement or your use of the Service shall not exceed the total fees you actually paid to PrimeSpy for the specific Service giving rise to the claim in the six (6) consecutive months preceding the event giving rise to the claim.
7.8 Disclaimer and Indemnification
PrimeSpy does not supervise or control the specific purposes for which users utilize the Service. PrimeSpy assumes no liability for any damage or loss caused by you or any other user’s use of the Service. We will not intervene in disputes between users or between users and any third party (except as otherwise stipulated in this Agreement). On behalf of yourself and your successors and assigns, you hereby release PrimeSpy, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, demands, damages, losses, and liabilities (whether known or unknown, suspected or unsuspected, disclosed or undisclosed) arising out of or in any way connected with such disputes and your use of the Service. You agree to defend, indemnify, and hold PrimeSpy and its affiliates, officers, agents, employees, and partners harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the Service, your violation of this Agreement, or your infringement of any third-party right.
8. Indemnification
You agree to defend, indemnify, and hold harmless PrimeSpy, its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) your use or misuse of the Service;
(b) your violation of any term of this Agreement;
© your infringement of any rights of any third party (including intellectual property rights); or
(d) your subsequent use of any data, materials, or information obtained from the Service.
9. Third-Party Services
The Service may contain links to third-party websites, content, or services (“Third-Party Services”). We have no control over Third-Party Services, assume no responsibility for their availability, content, or policies, and do not endorse them. Any risks, losses, or damages arising from your access to or use of any Third-Party Service are borne solely by you.
10. Term and Termination
10.1 Term of Agreement
This Agreement is effective upon your acceptance and continues until terminated in accordance with these terms.
10.2 Termination by You
You may terminate this Agreement at any time by discontinuing your use of the Service and closing your account.
10.3 Termination by PrimeSpy
We may suspend or terminate your account or access to the Service at any time, with or without notice, for any reason, particularly if you violate this Agreement. In such a case, you are not entitled to any refund.
10.4 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Provisions of this Agreement which by their nature should survive termination (including but not limited to Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution) shall continue in effect.
11. Governing Law and Dispute Resolution
11.1 Governing Law
The formation, interpretation, validity, performance, and dispute resolution of this Agreement shall be governed by the laws of the Republic of Singapore, without regard to its conflict of law rules.
11.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to this Agreement, including its existence, validity, interpretation, breach, or termination, shall be finally resolved by arbitration** administered by the** Singapore International Arbitration Centre (SIAC)** in accordance with its rules in force at the time. The seat of arbitration shall be Singapore. The arbitral tribunal shall consist of one arbitrator appointed in accordance with the SIAC rules. The language of the arbitration shall be English. The arbitral award shall be final and binding on both parties.**
You expressly waive the right to participate in class actions, consolidated actions, or representative actions. All claims must be brought on an individual basis.
12. Miscellaneous
12.1 Entire Agreement
This Agreement (including all referenced policies) constitutes the entire agreement between you and PrimeSpy regarding the Service and supersedes all prior oral or written communications and proposals.
12.2 Severability
If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
12.3 Non-transferable
You may not assign any rights or obligations under this Agreement without our prior written consent. We may assign this Agreement in its entirety to an affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.
12.4 Notices
Notices we send to you may be provided via website announcements, in-service messages, or sent to the email address associated with your account. Such notices shall be deemed delivered upon sending.
12.5 Waiver
The failure or delay of either party to exercise any right under this Agreement shall not constitute a waiver of that right. The single or partial exercise of a right shall not preclude the exercise of other rights or remedies.
